Macau Horologe Association


Chapter I. General Program

 

Article 1.  Name

Chinese: 澳门钟表协会

Portuguese: Associação do Relógio de Macau.

English: Macau Horologe Association.

 

Article 2.  Nature

The association is a non-profit organization registered with the Macau SAR Government in accordance with the law.

 

Article 3.  Address of Juridical Person

The headquarter of the association is located on the 13th floor, Block F, Centro Commercial Kuong Fat, 174 Rua de Pequim, Macau. The headquarter of the Association can be moved to any place in Macau, with approval by the General Assembly meeting.

 

Article 4.  Purpose

I. Adhere to the spirit of "One Country, Two Systems" and "Patriotism and Love for Macau". We strictly abide by the Constitution of China and Macau local laws, uniting clock and watch lovers and cultivating a culture of horology, science, and technology innovation. We strive to promote social stability and prosperity of the Macau Special Administrative Region

 

II. Connect the resources and networks of clock and watch lovers in Macau, the Greater Bay Area, and the Belt and Road countries. We actively develop Macau as the platform for research, promotion, and communication of horologe culture.

 

III. Establish close ties between horologe organizations from Macau, the Greater Bay Area, Belt and Road countries, and others, serving as the bridge

of collaboration and communication between Macau and the international community; fostering the study of horologe culture as one of the keys within the Macau cultural industry.

 

IV. Organize exchange, investigation, training, exhibition, evaluation, appraisal, and other services and activities.

 

Chapter II.  Membership, Rights and Obligations

 

Article 5. Membership

Any person who is interested in horologe and agrees with the articles of the Association, and pays membership fees as required by the Council, may become a member of the Association.

 

Article 6. Membership obligations

I. Members shall have the responsibility to attend general meetings and request special general meetings.

 

II. Members of the Association shall have the obligation to abide by the articles of the Association and any resolution, participate in the activities of the Association, undertake any task of the Association, and pay membership fees.

 

Article 7. Membership rights

Members of the Association have the right to vote, to be elected, to have priority participation in the activities organized by the Association, to obtain the relevant information, and to enjoy the benefits of the Association.

 

Article 8. Disciplinary sanctions

If a member violates the law, the articles of the Association, internal rules and regulations, as well as the resolutions of the general assembly meeting, the council shall deal with the member appropriately according to his/her individual circumstances.

 

Article 9. Withdrawal and non-members of the Association

I. Members may withdraw at any time. However, the annual fee already paid will not be refunded. If there are outstanding dues, they must be settled together with the withdrawal request.

 

II. All members who have withdrawn from the association and non-members of the Association shall not handle, conduct, or participate in any activities in the name of the Association; otherwise, the Association reserves the right to pursue legal actions.

 

Chapter III. Organizational structure and authority

 

Article 10. Organizational Structure of the Association

I. General Assembly;

II. Council;

III. Supervisory Board

 

Article 11. General Assembly of Members

I. The General Assembly serves as the supreme authority of this Association. The Presidium consists of one President, one Vice President, and one Secretary, responsible for representing the association externally and guiding internal affairs. Members at all levels have the right to participate in the General Assembly, with the total number of members on the Presidium being an odd number.

 

II. The rights and responsibilities of the General Assembly include:

1. Formulate, amend, and interpret the articles of association, internal rules, and codes of conduct of the Association;

2. Elect and remove members of the organs of the Association;

3. Discuss and decide on the annual working plan, working report, and financial final account report;

4. Decide on matters concerning the rights and obligations of members;

5. Decide on the application and distribution of the property;

6. Resolve the dissolution of the Association.

 

Article 12. Council

I. The Council is the entity responsible for the executive affairs of the Association.

 

II. The Council shall have one Chairman, one Vice-Chairman, and several Council members, with the total number of members being odd. Members at all levels have the right to participate in Council meetings.

 

III. The rights and responsibilities of the Council include:

1. Perform the duties set forth in the regulations and the articles

of association, internal rules, and codes of the Association;

2. Implement the resolutions of the general assembly meeting;

3. Handle conference affairs;

4. Draw up annual working plans, financial budget,s and final accounts;

5. Draw up the annual working report and financial final account report, and submit the report to the general assembly meeting.

6. Manage all the properties of the Association.

 

IV. The Council may set up a number of executive committees to deal with the affairs of each executive committee.

 

Article 13. Supervisory Board

I. The Supervisory Board shall be the supervisory entity of the Association.

 

II. The Supervisory Board shall have one Chairperson, one Vice-Chairperson, and several supervisors, with the total number of members being odd. Members at all levels have the right to participate in the meetings of the Supervisory Board.

 

III. The duties of the Supervisory Board are as follows:

1. Perform the duties set forth in the regulations and the articles of association, internal rules, and codes of the Association;

2. Supervise the operate of the Council;

3. Provide opinions on optimizing the Association to the Council;

4. Inspect revenue and expenditure report submitted by the Council.

 

Article 14. Election methods

Members of the organs of the Association are elected by members at the general meeting, with the majority of votes being elected in order.

 

Article 15. Term of office

The President, Council members, and Supervisory Board members of this association hold voluntary positions. Additionally, the organizational members of this association serve terms of three years, with no limit on the number of consecutive terms.

 

Article 16. Dismissal

The members of any organ of the Association shall be removed by the general meeting in real time under any of the following circumstances:

I. Those who have lost their membership;

II. Resignation for reasons approved by the board of directors or the Supervisory Board;

III. Those who violate the articles of association, internal rules, or codes of conduct of the Association.

 

Article 17. Consultants

The Association may, when necessary, employ consultants through the general meeting to assist in the development of the association.

 

Chapter IV. Meetings

 

Article 18. Convening of the General Assembly

I. The General Assembly meeting of members of the association is held once a year.

 

II. The General Assembly meeting of members may be initiated in the following ways:

1. The Council shall convene;

2. A general meeting may also be convened when not less than one-fifth of the total members request for a legitimate purpose;

3. If the Council fails to convene the general meeting, any member may convene.

 

III. The general meeting shall be convened at least 10 days in advance by notification by signed receipt or registered letter, and the notice shall indicate the date, time, place and agenda of the meeting.

 

Article 19. Operation of the General Assembly

I. The General Assembly meeting shall be presided over by the president. If less than half of the members are present at the first meeting, no resolution shall be made.

 

II. Resolutions to amend the articles of association shall be approved by a vote of not less than three-fourths of the members presented.

 

III. Resolutions to dissolve the Association shall be approved by a vote of three-fourths or more of all members.

 

IV. Information on the meetings of the General Assembly shall be recorded in    the attendance books. The register shall be accompanied by a list of attendance indicating the names of the members present at the meeting. Members shall sign the list of attendance (as referred to above) before the meeting begins.

 

Article 20. Authorization

Members of the association may, with valid authorization, entrust the chairman to vote on their behalf at the general meeting.

 

Article 21. Convening of the Council and the Supervisory Board

The meeting of the council and the meeting of the Supervisory Board shall be convened and presided over by the chairman and the chief supervisor from time to time.

 

Chapter V. Financial Structure

 

Article 22. Financial operations

The sources of funding for the Association are as follows:

I. Membership fees;

 

II. Support, sponsorship, and donations from government, other industrial and commercial institutions, organizations and individuals;

 

III. Other lawful income.

 

Article 23. Fiscal Year

The fiscal year of the Association shall be from January 1 to December 31.

 

Article 24. Operations of Funding

The Council shall open a bank account in the name of the Association. The opening and operation of the account shall be valid only with the joint signature of the President of the General Assembly and the Chairman of the Council.

 

Chapter VI. Dissolution and Disposition of Property after Dissolution

 

Article 25. Dissolution

I. If the purpose of the association is completed or the association dissolves due to its own reasons, a termination motion shall be put forward by the general assembly meeting.

 

II. The termination motion of the Association shall be decided by voting at the general assembly meeting, and the association may be dissolved with the approval of more than three-fourths of all members.

 

III. A liquidation committee shall be formulated before the dissolution of the association to settle debts and handle post-liquidation affairs. During the liquidation period, no activities other than liquidation shall be carried out.

 

Article 26. Disposal of property after dissolution

The property after the dissolution of the Association shall be used for matters related to the purpose of the Association in accordance with the relevant provisions of Macao law.

 

Chapter VII.  Supplements

 

Article 27. Interpretation and modification of the Articles

I. If there is any omission or ambiguity in the articles of association, the general meeting shall be responsible for making explanations and shall be governed by the laws of the Macau Special Administrative Region.

 

II. The amendment of these Articles of Association shall be made by voting of the general assembly meeting, and the amendment may be made only with the approval of more than three-fourths of the members present.

 

Article 28. Internal rules

Where this Constitution does not provide, the general assembly meeting shall make internal rules and codes of conduct, which shall be approved by a vote of the general assembly meeting.

Members of the Association must first be recommended by current members, and then be approved after background check. By September 30, 2025, the association has about more than 400 members, all of whom are experts, collectors, enthusiasts, independent watchmakers, senior repairmen, brand representatives, etc.
